Terms of Service

1. Acceptance of Terms
By accessing and using PharmaLink MD ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. License and Use
PharmaLink MD grants you a limited, non-exclusive, non-transferable license to use the Service for lawful business purposes. You agree not to:
- Violate any laws or regulations (including HIPAA, PIPEDA, Quebec Law 25)
- Impersonate any person or entity
- Attempt to gain unauthorized access to the Service
- Reverse-engineer or decompile any component of the Service
- Resell, sublicense, or redistribute the Service without prior written consent
3. Professional Responsibility
You represent and warrant that:
- You hold valid healthcare credentials (Prescriber, Pharmacist, or equivalent)
- You are licensed in the jurisdiction(s) where you provide services
- Your license is current and active
- You will use PharmaLink MD in accordance with all applicable laws and professional standards
- You take full responsibility for clinical decisions made using information from the Service
4. Data Responsibility
You are responsible for:
- Obtaining proper patient consent before issuing cross-border prescriptions
- Maintaining confidentiality of your account credentials
- Ensuring all prescription data is accurate and complete
- Complying with your own privacy obligations to patients
- Reporting security breaches immediately to security@medescript.com
5. Limitation of Liability
EXCEPT AS PROHIBITED BY LAW, PHARMALINK MD AND MEDESCRIPT INC. ARE PROVIDED ON AN "AS-IS" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
IN NO EVENT SHALL MEDESCRIPT INC. BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.
Our total liability for any claim shall not exceed the fees you paid in the 12 months preceding the claim.
6. Indemnification
You agree to indemnify and hold harmless MedEScript Inc., its officers, employees, and agents from any claim, demand, loss, or liability arising from:
- Your violation of these Terms
- Your use of the Service in violation of law
- Your clinical decisions or prescribing practice
- Infringement claims related to your data
7. Suspension and Termination
We may suspend or terminate your access if:
- Your license becomes inactive or revoked
- You violate any law or these Terms
- We detect fraud or security risk
- You fail to pay undisputed fees for 30 days
Upon termination, we retain the right to retain data as required by law. You may request deletion of non-regulated data within 90 days of termination.
8. Business Associate Agreement
In the United States, PharmaLink MD acts as a HIPAA Business Associate. A separate Business Associate Agreement ("BAA") governs the handling of Protected Health Information. The BAA is incorporated by reference. In the event of conflict between the BAA and these Terms, the BAA controls.
9. Fee Terms
- Billing: Fees are billed monthly in advance
- Payment: You authorize us to charge your payment method on file
- Refunds: Refunds are issued only for technical failures preventing service use
- Changes: We will provide 30 days' notice of fee increases
10. Intellectual Property
All content, design, and technology comprising PharmaLink MD is the exclusive property of MedEScript Inc. You retain ownership of prescription data you generate. We retain the right to use de-identified data for service improvement.
11. Dispute Resolution
Any dispute shall be governed by the laws of Ontario, Canada. Before litigation, disputes shall be resolved via binding arbitration per the rules of the ADR Institute of Canada. Each party bears its own costs.
12. Amendments
We reserve the right to update these Terms. Material changes will be communicated to you 30 days in advance. Continued use constitutes acceptance.
